Receipt of Purported Notice under S143 of CBCA

Besra Gold Inc (ASX: BEZ) (the Company) advises that it has received by email from Mr Ron Mehmet what purports to be a notice under Section 143 of the Canada Business Corporations Act (Act) (Purported S143 Notice). The Company has sought legal advice from its Canadian legal advisors as to the validity of the Purported S143 Notice and will release a further announcement once it has received that advice.

The Purported S143 Notice proposes a resolution with reference to the Gold Purchase Agreement (‘GPA’) signed between the Company and Quantum Metal Recovery Inc (‘QMRI’) dated 8 May 2023.

To the extent that the Purported S143 Notice is determined to be valid, the Company will comply with its obligation to convene a special general meeting of the Company at considerable cost to the Company.
